Summary#

This Canada Gazette notice (published June 21, 2025) includes three short items.

  • Equitable Bank says it has moved the offices used for service of enforcement notices in British Columbia and Ontario.
  • Fiduciary Trust Company of Canada says it plans to apply to reduce its common-share stated capital by up to $22.0 million.
  • Royal & Sun Alliance Insurance Company of Canada, Intact Insurance Company and 13130100 Canada Inc. say they intend to seek letters patent to amalgamate into one company called Intact Insurance Company (proposed effective date January 1, 2026).

What it does#

  • Equitable Bank: updates the designated addresses for receiving enforcement notices required under the Support Orders and Support Provisions (Banks and Authorized Foreign Banks) Regulations made under the Bank Act. Separate new offices are listed for British Columbia and Ontario.
  • Fiduciary Trust Company of Canada: signals an intention, under the Trust and Loan Companies Act (Canada), to apply to the Superintendent of Financial Institutions (Canada) for approval to reduce the stated capital of its common shares by up to $22.0 million. A special resolution approving this reduction was passed by the sole shareholder on June 13, 2025. The company says approval is not guaranteed.
  • Royal & Sun Alliance Insurance Company of Canada, Intact Insurance Company and 13130100 Canada Inc.: say they will apply (on or after July 14, 2025) for letters patent of amalgamation under the Insurance Companies Act (Canada) to continue as one company named Intact Insurance Company (English) / Intact Compagnie d’assurance (French). A report from an independent actuary will be available to policyholders on request. The proposed effective date is January 1, 2026 or another date set in the letters patent.

Who's affected#

  • People or agencies who need to serve enforcement notices on Equitable Bank in British Columbia or Ontario (lawyers, enforcement officers, support agencies).
  • Fiduciary Trust Company of Canada and its sole shareholder (the sole shareholder would receive any distribution if the reduction is approved). Also the Superintendent of Financial Institutions (Canada) as the approval authority.
  • Policyholders of Royal & Sun Alliance Insurance Company of Canada and Intact Insurance Company, and the three companies named as applicants. The Minister of Finance and the federal regulator will be involved in reviewing any amalgamation application.

Why it matters#

  • The new addresses for Equitable Bank matter if you must serve an enforcement notice. Sending a notice to the wrong office can delay legal or administrative steps.
  • The planned capital reduction at Fiduciary Trust Company of Canada (up to $22.0 million) could change how the company’s capital is organized and would result in a payment to its sole shareholder if approved. Approval by the regulator is required and not assured.
  • The proposed amalgamation would combine two insurers and a related company into a single firm called Intact Insurance Company, which could affect who policyholders contact for documents or questions. Policyholders can request the independent actuary’s report to see how the change might affect them.
